1. Introduction

Welcome to the website of the Eletex Group of Companies ("Eletex Group", "Company", "we", "us", or "our"), comprising five Singapore-registered entities operating under the Eletex brand. Our website, located at eletexgroup.com
(the "Website"), provides information about our industrial services, including scaffolding,insulation, coating, steel structures, maintenance, construction and oil & gas services, and cleaning.
By accessing or using the Website, you ("User", "you", or "your") agree to be bound by these Terms of Service("Terms"). If you do not agree with any part of these Terms, you must discontinue use of the Website immediately.

2. Website Usage Terms

2.1 Permitted Use

The Website is provided for informational and marketing purposes only. You may use the Website to:

Browse information about our services, projects, and company background;
Submit enquiries through the contact form provided on the Website; and
Access publicly available content published by the Company.

2.2 Prohibited Use

You agree not to:

Use the Website for any unlawful purpose or in violation of any applicable local, national, or international law or regulation;

We reserve the right not to respond to any enquiry at our sole discretion. Submission of an enquiry does not create a contractual relationship between you and the Company.

2.4 Availability

We do not guarantee that the Website will be available at all times or without interruption. We may suspend, withdraw, discontinue, or change all or any part of the Website without notice. We will not be liable to you if, for any reason, the Website is unavailable at any time or for any period.

3.1 Ownership
All content on the Website, including but not limited to text, graphics, logos, icons, images, photographs, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof (collectively, "Content"), is the property of the Eletex Group of Companies or its content suppliers and is protected by Singapore and international copyright, trademark, and other intellectual property laws.

3.2 Trademarks
The names "Eletex Group", "Eletex Group of Companies", and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners.

3.3 Limited Licence
We grant you a limited, non-exclusive, non-transferable, revocable license to access and make personal, non-commercial use of the Website and its Content. This license does not include any right to:

Modify or make derivative works based upon the Website or its Content;
Download (other than page caching) or copy any Content except as explicitly permitted;
Use any data mining, robots, or similar data-gathering and extraction tools on the Content; or
Use the Content for any commercial purpose.

This licence is automatically revoked if you violate any of these Terms.

3.4 No Transfer of Rights
Nothing on the Website shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any intellectual property displayed on the Website without our written permission.

4.1 "As Is" Basis

5.1 Exclusion of Liability
To the maximum extent permitted by applicable law, in no event shall the Eletex Group of Companies, its constituent entities, directors, officers, employees, agents, affiliates, or subsidiaries be liable for:

Any indirect, incidental, special, consequential, punitive, or exemplary damages;
Any loss of profit, revenue, data, goodwill, or business opportunity;
Any damages arising from your use of or inability to use the Website;
Any damages arising from unauthorized access to or alteration of your transmissions or data;
Any damages arising from any content or conduct of any third party on the Website; or
Any other damages of any kind arising out of or in connection with your use of the Website,

whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, andregardless of whether we have been advised of the possibility of such damages.

5.2 Cap on Liability
Where the exclusion of liability above is not permitted by applicable law, our total aggregate liability to you for all claims arising out of or relating to your use of the Website shall not exceed one hundred Singapore dollars (SGD100.00).

5.3 Essential Basis
You acknowledge and agree that the limitations of liability set out in this section are essential elements of the agreement between you and the Company, and that the Company would not provide the Website to you without these limitations.

6. Indemnification

You agree to indemnify, defend, and hold harmless the Eletex Group of Companies, its constituent entities, directors, officers, employees, agents, affiliates, and subsidiaries from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

Your use of or access to the Website;
Your violation of these Terms;
Your violation of any applicable law or regulation; or
Your violation of any rights of a third party.

8. Modifications to Terms

We reserve the right to revise and update these Terms at any time at our sole discretion. 9. Governing Law

9.1 Applicable Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Singapore.

9.2 Jurisdiction
Subject to the dispute resolution provisions below, the courts of the Republic of Singapore shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

10. Dispute Resolution

10.1 Informal Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Website ("Dispute"), the parties shall first attempt to resolve the Dispute informally by contacting the Company at eletex@singnet.com.sg. The Company will attempt to resolve the Dispute informally within thirty (30) days of receiving your written notice.

10.2 Mediation
If the Dispute cannot be resolved informally within thirty (30) days, either party may refer the Dispute to mediation administered by the Singapore Mediation Centre ("SMC") in accordance with the SMC's prevailing mediation procedures. The mediation shall be conducted in Singapore and in the English language. The costs of mediation shall be borne equally by the parties unless the mediator directs otherwise.

10.3 Litigation
If the Dispute is not resolved through mediation within sixty (60) days of the commencement of mediation proceedings (or such further period as the parties may agree in writing), either party may commence legal proceedings in the courts of the Republic of Singapore.

10.4 Injunctive Relief
Notwithstanding the foregoing, the Company retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or other proprietary rights.

11. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. Any modification to or deletion of a provision shall not affect the validity and enforceability of the remaining provisions of these Terms.

12. Waiver
No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and the Eletex Group of Companies regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
